Terms and Conditions
This is a translation for convenience. The German version at deeploupe.com/agb is the legally binding one.
These terms set out what you get from deeploupe, what it costs, and what applies when something does not work. They are kept as short as the subject allows — terms nobody reads protect nobody.
The provider is Speakz Media GmbH, based in Berlin, Germany. The full provider details are in the legal notice; how we handle data is described in the privacy policy.
Scope
These terms apply to every contract concerning the use of deeploupe between Speakz Media GmbH and its customers. The service is offered exclusively to businesses — “Unternehmer” within the meaning of § 14 of the German Civil Code (BGB): traders, self-employed professionals and legal entities entering into the contract in the course of their professional activity. Contracts with consumers are not offered.
Any terms of the customer that deviate from these do not become part of the contract, even if we do not expressly object to them.
Formation of the contract
The presentation of our products on the website is not yet a binding offer; it is an invitation to make one.
You place your order by completing the checkout with our payment provider Stripe. The contract is formed once your payment is confirmed; from that moment the product you bought is available in your account.
These terms are expressly confirmed during checkout and linked there, so you can read, save and print them before ordering.
What we provide
What we owe in detail is listed in the overview below this section: for each product its scope and, right next to it and of equal weight, its limits.
We measure what the answer engines output at the moment of measurement. These systems are not deterministic: the same question can be answered differently within a short interval. What we owe is the measurement and its documentation, not a particular outcome — in particular no mention in an AI answer, no position in a search engine, and no change in reach or revenue.
The reports describe the technical state of a website at the time of measurement and point out what could be improved. They do not constitute legal, tax or business advice.
Credits
A purchase unlocks the number of credits stated for the respective product. You can distribute them across domains as you like; each analysis consumes one credit.
Credits do not expire.
A credit is consumed when the analysis starts, not when the report is finished. If a run fails for a reason within our responsibility, we credit it back on request.
For a one-off purchase, the contract ends once the last credit has been used or, if it comes to that, with the refund.
Subscription
Ongoing monitoring is offered as a subscription with a monthly or annual term; you choose the term at purchase. The subscription then renews automatically for the same period each time.
The subscription can be cancelled at any time, effective at the end of the current billing period, via the customer portal. Access remains fully available until then.
When the term ends, the monitors belonging to the subscription are deactivated. History already collected remains accessible in the account.
Prices and payment
All prices are net and exclusive of statutory VAT.
Payment is handled by Stripe. You enter your payment details directly there — we neither see nor store them.
Payment is due in advance: for one-off purchases with the order, for subscriptions at the start of each billing period.
If you fall into default of payment, we may suspend access after prior notice until the outstanding amount is settled. This does not affect our claim to the agreed remuneration.
Money-back
If you are not satisfied within 30 days of purchase, we refund the full amount. No reason is required; an informal email is enough. This applies to one-off purchases as well as to subscriptions, and regardless of whether you have already used the service. The promise applies once per customer; in cases of evidently abusive use we reserve the right to refuse it.
Write to hello@speakzmedia.de. The refund is issued via the same payment method you used. Access to the paid service ends with the refund.
Availability
We work towards high availability of the service, but we do not guarantee any particular uptime figure.
Where possible we schedule maintenance during periods of low usage; foreseeable interruptions are announced in advance.
Parts of the analysis depend on third-party services (answer engines, search data providers, measurement services). If those fail or change their interfaces, the affected measurement may be temporarily unavailable.
Rights of use
You may use the reports produced for any business purpose without restriction, in particular pass them on to your own clients and incorporate them into your own services.
The rights in the software, the analysis methods and the design of the service remain with us. You receive a non-exclusive, non-transferable right to use it for the term of the contract. You may not rebuild the service, reverse-engineer it, or resell access to it as a service of your own — the finished reports remain unaffected by this.
Your obligations
You only analyse domains you are entitled to analyse: your own, domains you manage on behalf of a client, or domains where the analysis is limited to publicly accessible information. Checks that interfere with third-party systems, circumvent access controls or infringe third-party rights are not covered.
The service is to be used through the interface provided for it. Automated bulk querying and circumventing the limits of your plan are not permitted; we may throttle or suspend affected accounts after notice.
You do not pass your credentials to third parties outside your own company.
Liability
We are liable without limitation for damage caused intentionally or by gross negligence, for damage arising from injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz), and to the extent of any guarantee we have given.
In cases of ordinary negligence we are liable only for the breach of a material contractual obligation (“wesentliche Vertragspflicht”) — an obligation whose fulfilment is what makes proper performance of the contract possible in the first place and on whose observance you may regularly rely. In that case liability is limited to the damage foreseeable at the conclusion of the contract and typical for this type of contract.
Any further liability is excluded. The same limitations apply to our legal representatives, employees and vicarious agents (“Erfüllungsgehilfen”).
Within the limitations set out above, we are liable for loss of data only up to the cost that would have been incurred to restore it had the data been backed up properly and regularly.
Changes to these terms
We may amend these terms, for instance because the scope of the service, the providers we use or the legal situation changes. We announce such changes at least six weeks before they take effect in text form (“Textform”) — for registered users by email to the address held in the account.
You may object to the changes up until they take effect; an email is enough. If you object in time, you may terminate the contract with effect from the date on which the change was to take effect. We point out the deadline and this consequence expressly in the announcement.
Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
The exclusive place of jurisdiction for all disputes arising from this contractual relationship is Berlin, Germany, provided you are a merchant, a legal entity under public law or a special fund under public law.
Declarations under this contract — cancellation, objection, refund requests — may be made in text form (“Textform”, § 126b BGB). An email is therefore sufficient; a signed letter is not required.
Should any provision of these terms be or become invalid, the remainder of the contract stays in force. The invalid provision is replaced by the applicable statutory rule.
What you actually get
For each product this states what is owed — and next to it, where the limits are. Both belong side by side, not in the small print.
How many domains, how many questions are tested and how often measurement runs depends on the tier you book. Those figures are stated on the pricing page and form part of the contract; they are deliberately not repeated here so that they cannot drift apart in two places.
Single Report
- Scope
- One credit for a full analysis report on one domain: rendering like a search engine crawler, a crawl of the site structure, load-time measurement, checks of email authentication and security headers, and a citation test against the answer engines in use. Plus one free proof check of the same domain.
- Limits
- Credits do not expire. The free proof check is valid for 30 days from completion of the report and is tied to the same domain.
Founder
- Scope
- Three credits with the same scope as the Single Report, freely distributable across domains.
- Limits
- Credits do not expire. Each paid report includes one free proof check valid for 30 days, tied to the domain analysed.
Monitoring Starter
- Scope
- Ongoing monitoring of one domain’s citation status against all answer engines in use, including source verification, history, a weekly email report and an alert on a confirmed loss. The scope and frequency of the tier are stated on the pricing page and form part of the contract.
- Limits
- A loss is reported only once confirmed across a measurement window — roughly three weeks at this tier. That is not a defect but the reason the alert is dependable: a single measurement fluctuates.
Monitoring Pro
- Scope
- As Starter, but for multiple domains and with denser measurement. The scope and frequency of the tier are stated on the pricing page and form part of the contract.
- Limits
- A loss is reported only once confirmed across a measurement window — roughly one week at this tier.
